1. Contract Documents

The Contract Documents constitute the complete agreement between the Customer and Skyline Exteriors, including

2. Scope of Work

Skyline Exteriors will perform the work (the "Work") according to the Contract Documents, manufacturer's specifications for CertainTeed products, and applicable law, including OSHA safety standards. Skyline Exteriors may subcontract parts of the Work to qualified third parties. All materials must be installed according to CertainTeed’s guidelines to maintain warranty validity. Skyline Exteriors maintains control over the methods and procedures used to complete the Work.

3. Payment Terms

Customers must pay 50% of the total contract price upfront and the remaining 50% upon project completion. Payments must be made in full according to the agreed installments. Late payments may incur interest charges at a rate of 1.5% per month.

4. Changes and Substitutions

Skyline Exteriors may modify the scope of Work or substitute materials due to availability or unforeseen circumstances, provided such changes or substitutions are of comparable quality and do not affect the overall functionality or design of the installation. Any major changes affecting cost, timeline, or material types will be documented through a formal Change Order.

5. Permits and Regulations

The Customer is responsible for obtaining any necessary governmental permits and ensuring that the project complies with all local county regulations. Skyline Exteriors will assist in identifying the requirements but is not responsible for delays or additional costs due to permit acquisition or regulatory compliance.

6. Insurance and Liability

Skyline Exteriors maintains liability insurance and worker's compensation coverage as required by Indiana state law. The Customer is advised to maintain property insurance. Skyline Exteriors is not liable for damages that exceed the scope of work or for conditions caused by improper use or maintenance of the installed products.

7. Warranty

Skyline Exteriors provides a warranty for workmanship and materials based on CertainTeed’s product warranties, which are only valid if the products are installed according to manufacturer specifications using the correct materials. Specific warranty details, including duration and exclusions, will be provided in the Warranty Documentation supplied at project completion.

8. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through direct negotiation. If unresolved, the dispute will be settled through arbitration in accordance with the rules of the American Arbitration Association, to be held in Indiana.

9. Termination

Either party may terminate the contract with written notice if the other party substantially fails to meet their obligations under these Terms and Conditions. Upon termination, any unpaid balance for Work completed becomes due immediately.

10. General Provisions

These Terms and Conditions shall be governed by the laws of the State of Indiana. Should any clause of this agreement be found invalid by a court, the remainder of the agreement shall still apply. This agreement does not create benefits for any third party who is not a signatory to this contract.
